1. Introduction

Welcome to Hykal ("Platform"), operated by Asas Search Commerce Limited Company. These Terms of Service ("Terms") govern your use of our website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Definitions

• "User", "You", "Your" refers to any individual or entity who creates an account and uses the Platform, including Clients, Engineers, and various Company types.
• "Client" refers to a User who posts a Request for Quotation (RFQ) seeking services for a construction project.
• "Engineer" refers to a registered engineering company that may create RFQs on behalf of Clients or provide other professional services.
• "Company" refers to various business entities, including Contractors, Specialists, Materials Suppliers, and Construction Vehicle rental companies who use the platform to find opportunities and offer services.
• "RFQ" means a Request for Quotation posted by a Client or Engineer on the Platform.
• "Bid" means a proposal or quotation submitted by a Company in response to an RFQ.

3. User Accounts & Verification

3.1. Registration: You must register for an account to access most features of the Platform. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3. Verification: Companies may be required to submit documentation for verification purposes ("Verification"). This process helps ensure a trusted marketplace. We do not guarantee the identity of any User or the accuracy of any information provided through the Verification process. Hykal is not liable for any issues arising from interactions with unverified or verified users.

4. Service & Subscription Fees

4.1. For Clients: Posting RFQs is currently free of charge for Clients.

4.2. For Companies: Accessing certain premium features, including the ability to submit Bids on RFQs, requires an active, paid subscription. Subscription plans, fees, and features are detailed on our Subscription page.

4.3. Payment: Subscription fees are payable via bank transfer as per the instructions on the payment page. Subscriptions are activated upon our verification of payment. All fees are non-refundable except as required by law.

5. Platform Usage and Conduct

5.1. RFQ Postings: Clients and Engineers are solely responsible for the content of their RFQs, including the accuracy and completeness of the project scope, documents, and details.

5.2. Bidding: Companies agree that their Bids are binding offers to perform the work or supply the materials described in the RFQ. Submitting a Bid does not guarantee that it will be accepted.

5.3. Prohibited Conduct: You agree not to engage in any of the following prohibited activities:

• Circumventing the Platform to avoid fees.
• Posting false, misleading, or inaccurate information.
• Infringing on any third party's intellectual property rights.
• Harassing, abusing, or harming another User.
• Using the Platform for any illegal or unauthorized purpose.

6. AI-Powered Alert Tool

Hykal provides an AI-powered tool to help Users identify potentially unusual or risky terms in communications. This tool is provided for informational purposes only and does not constitute legal, financial, or professional advice. The output is generated by an AI model and may contain inaccuracies. You are solely responsible for reviewing and interpreting its output and making your own business decisions. Hykal is not liable for any actions taken or not taken based on the information provided by this tool.

7. Disclaimers and Limitation of Liability

7.1. No Guarantees: Hykal is a platform that connects Users. We do not hire or employ Companies and are not a party to any agreement between Users. We do not guarantee the quality, safety, or legality of the services provided or the projects posted.

7.2. "As Is" Service: The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, express or implied.

7.3. Limitation of Liability: To the fullest extent permitted by law, Asas Search Commerce Limited Company and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services.

8. Termination

We may terminate or suspend your account and access to the Services, at our sole discretion, at any time and without notice or liability to you, for any reason, including but not limited to a breach of these Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.
